These Website and Snapshot Terms of Use (“Terms”) are a legal agreement between you and Incorporating Services, Ltd. (“Incserv,” “we,” “us,” or “our”). By accessing or using incserv.com or the Snapshot client portal (collectively, the “Digital Services”), you agree to these Terms. If you do not agree, do not use the Digital Services.
These Terms govern the Digital Services and inquiries or transactions initiated through them. Additional written terms, proposals, engagement documents, invoices, or service-specific requirements may apply to particular services. If those terms conflict with these Terms, the service-specific terms control for that service.
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Digital Services. If you use the Digital Services for a company, client, or other person, you represent that you are authorized to act for and bind that party and that all information and instructions you provide are authorized.
Digital Services content is provided for general informational purposes. Incserv is not a law firm, accounting firm, or tax adviser, and use of the Digital Services does not create an attorney-client, accountant-client, fiduciary, or similar professional relationship. Content is not legal, tax, accounting, investment, or other professional advice. Laws, fees, forms, procedures, and processing times change, and you should consult an appropriate professional regarding your circumstances.
Submitting an inquiry, requesting a quote, sending information, uploading a document, or making a payment through the Digital Services does not by itself require Incserv to accept an engagement, file a document, serve as registered agent, or perform any other service. A Snapshot payment is only a payment transaction and does not constitute an instruction or authorization to make a filing or perform another service. A service relationship begins only when Incserv confirms acceptance or begins the requested work. We may decline or stop work where permitted by law, including if instructions are incomplete, payment is not received, a conflict or compliance concern arises, or the requested work is unlawful or outside our capabilities.
You are responsible for:
Providing complete, current, accurate, and lawful information, documents, approvals, and instructions.
Reviewing drafts, filings, invoices, notices, and confirmations promptly and notifying Incserv of errors or changes.
Maintaining current contact and payment information and monitoring communications from Incserv and government authorities.
Obtaining all authorizations, consents, and rights needed for information or documents you provide.
Making final legal, tax, business, and filing decisions and obtaining professional advice when appropriate.
Allowing sufficient time for Incserv, government agencies, couriers, and other third parties to complete requested work.
Incserv may rely on information and instructions you or your authorized representatives provide without independently verifying them.
Many Incserv services depend on government agencies, courts, filing offices, registered agents, couriers, banks, payment processors, and other third parties. Their fees, requirements, availability, processing times, acceptance decisions, and systems are outside Incserv’s control. Incserv does not guarantee that a filing or request will be accepted, completed by a particular time, or produce a particular legal or business result.
You agree to pay all Incserv fees and all government, courier, publication, registered-agent, vendor, tax, penalty, interest, and other third-party or out-of-pocket charges associated with your request. Unless Incserv agrees otherwise in writing, fees are due when invoiced or requested. Estimates may change if requirements, third-party charges, or your instructions change.
If you provide a payment method or initiate a payment through Snapshot, you authorize Incserv and its payment processor to process the credit-card or ACH transaction for the amount you approve or owe. You represent that you are authorized to use the payment method. You must contact Incserv promptly regarding any billing question or suspected error.
If you cancel a requested service before Incserv completes the work, Incserv will refund the service fees you paid, less government fees, courier charges, vendor charges, and other out-of-pocket costs already incurred or committed on your behalf. No refund is available after the requested work has been completed.
Fees for subscription, recurring, or term-based services are not prorated or refunded after the applicable service period begins. Unless different written terms apply, a cancellation of such a service takes effect at the end of the then-current paid period.
Incserv may issue a refund or credit in its discretion without creating an obligation to do so in another case. Questions about charges, cancellations, or refunds should be sent to info@incserv.com or directed to 800-346-4646.
When you contact Incserv through the Digital Services or provide an email address, you consent to receive communications relating to your inquiry, transactions, and services electronically. Electronic communications satisfy any legal requirement that communications be in writing to the extent permitted by law. Standard email is not guaranteed to be secure; do not send highly sensitive information through the general inquiry form or ordinary email unless Incserv provides an appropriate secure method.
Incserv will not treat submission of the Digital Services’s general inquiry form as consent to receive marketing text messages. Marketing emails may be sent as permitted by law and may be unsubscribed from using the link in the message.
Accounts and credentials
Snapshot accounts are issued or enabled by Incserv for individual authorized users. Credentials are personal to the assigned user and may not be shared. Customers must promptly ask Incserv to add, change, or remove access when personnel or responsibilities change. You are responsible for safeguarding credentials, logging out of unattended devices, and promptly reporting suspected unauthorized access.
Authorized use and information
Snapshot may permit authorized users to view, upload, download, update, or export entity, contact, corporate stock, compliance, document, invoice, and transaction information. You represent that you are authorized to access and use information made available through your account and to provide any information or documents you submit. You are responsible for reviewing information for accuracy and notifying Incserv of errors or unauthorized activity.
Payments
Snapshot may be used to make credit-card or ACH payments. You authorize Incserv and its payment processor to process each payment you initiate. Payment through Snapshot does not itself authorize Incserv to file a document, submit an annual report, pay a government obligation, or perform another service unless Incserv separately provides and accepts that functionality or instruction.
Access, suspension, and inactive accounts
Incserv may disable or suspend a user’s Snapshot access when the user is inactive, no longer authorized, presents a security or compliance concern, violates these Terms, or when Incserv otherwise determines suspension is appropriate. Access associated with an inactive or former customer may remain available, be disabled, or later be restored at Incserv’s discretion, subject to applicable law and any separate agreement. Continued availability of historical information is not guaranteed.
Availability and records
Snapshot is hosted and maintained with the assistance of a third-party technology provider and may be unavailable for maintenance, security, upgrades, outages, or events beyond Incserv’s control. Incserv may maintain records of logins, changes, downloads, payments, errors, and support activity, but Snapshot is not represented as a complete or immutable audit system. You should retain copies of records needed for your own legal, compliance, or business purposes.
Incserv grants you a limited, revocable, nonexclusive, nontransferable right to use the Digital Services for lawful business and informational purposes. You may not:
Use the Digital Services or Incserv’s services for unlawful, fraudulent, deceptive, abusive, or harmful activity.
Submit malicious code, overload or disrupt the Digital Services, bypass security controls, or attempt unauthorized access.
Scrape, harvest, copy, or use Digital Services content or data through automated means except as permitted by law or written authorization.
Impersonate another person, misrepresent your authority, or submit information you are not authorized to provide.
Reverse engineer, modify, distribute, sell, sublicense, or create derivative works from the Digital Services except as permitted by law.
Use Incserv’s names, logos, content, or services in a way that falsely suggests affiliation, endorsement, or sponsorship.
The Digital Services, including its text, design, graphics, logos, software, and other content, is owned by Incserv or its licensors and is protected by intellectual-property laws. Except for the limited right to use the Digital Services under these Terms, no rights are granted to you. You may retain copies of documents and information Incserv provides specifically for your transaction or internal business use, subject to any applicable third-party restrictions.
You retain any ownership rights you have in information and documents you submit. You grant Incserv and its service providers a nonexclusive right to host, copy, use, transmit, modify, and disclose that material as reasonably necessary to respond to you, provide requested services, operate and secure the Digital Services, comply with law, and enforce these Terms. You represent that doing so will not violate another person’s rights or applicable law.
The Digital Services may contain links to or integrate with third-party websites and services. Incserv does not control and is not responsible for their availability, content, security, terms, or privacy practices. Your use of a third-party service is governed by that third party’s terms.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE DIGITAL SERVICES AND THEIR CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” INCSERV DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES RELATING TO THE DIGITAL SERVICES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NONINFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY. INCSERV DOES NOT WARRANT THAT THE DIGITAL SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
These disclaimers apply to the Digital Services. Any warranty or commitment for a particular paid service must be stated in applicable written service terms.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INCSERV AND ITS OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR OPPORTUNITIES, ARISING OUT OF OR RELATING TO THE DIGITAL SERVICES OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF INCSERV AND THE OTHER PARTIES LISTED ABOVE FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE DIGITAL SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID TO INCSERV THROUGH THE DIGITAL SERVICES FOR THE PARTICULAR SERVICE GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to you. Nothing in these Terms excludes liability that cannot lawfully be excluded.
To the extent permitted by law, you will defend, indemnify, and hold harmless Incserv and its owners, directors, officers, employees, affiliates, and agents from claims, losses, liabilities, damages, judgments, penalties, costs, and reasonable attorneys’ fees arising from your unlawful or unauthorized use of the Digital Services, information or instructions you submit, your breach of these Terms, or your violation of another person’s rights. Incserv may control the defense of a claim subject to indemnification, and you will reasonably cooperate.
Incserv may restrict, suspend, or terminate access to the Digital Services if we reasonably believe you have violated these Terms, created a security or legal risk, are no longer an authorized user, or misused the Digital Services. Provisions that by their nature should survive termination will survive, including provisions concerning fees, intellectual property, disclaimers, liability, indemnification, and disputes.
Incserv is not responsible for delay or failure caused by events beyond its reasonable control, including government closures or delays, changes in law or procedure, acts of God, severe weather, fire, flood, epidemic, war, terrorism, civil unrest, labor disputes, utility or telecommunications outages, cyberattacks, transportation disruption, or failures of third-party systems or providers.
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. You and Incserv agree that any action arising out of or relating to the Digital Services or these Terms will be brought exclusively in the state courts located in Delaware or the United States District Court for the District of Delaware, and each party consents to the personal jurisdiction and venue of those courts. This provision does not prevent either party from seeking temporary or injunctive relief in another jurisdiction when reasonably necessary to protect its rights.
We may change the Digital Services and these Terms from time to time. Revised Terms will be posted on the Digital Services with an updated effective date. Changes apply prospectively when posted unless a later date is stated. If required by law, we will provide additional notice. Continued use of the Digital Services after the effective date of revised Terms constitutes acceptance of the revised Terms.
If a provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain effective. Incserv’s failure to enforce a provision is not a waiver. You may not assign these Terms without Incserv’s written consent; Incserv may assign them in connection with a reorganization, transaction, or transfer of the Digital Services or related business. Headings are for convenience only.
These Terms, the Privacy Policy, and any applicable service-specific written terms constitute the agreement concerning the Digital Services and supersede prior statements concerning the same subject.
